REGOLAMENTO DEL PROGETTO

ART.1 – PURPOSE OF THE INITIATIVE

Fondazione Marche, seeking to promote the renewal and growth of the production system of the Marche region, presents the Project Regulations for the selection of innovative enterprise Start-Ups.
The Foundation aims to promote the creation and development of innovative new enterprises through participation in risk capital.

ART.2 – BENEFICIARIES

The project is aimed at individuals who wish to open or have opened an innovative new enterprise.
Entry is also open to individuals who have opened an innovative enterprise in the Marche Region in the three previous years, duly registered at the Register of Companies at one of the Chambers of Commerce of the Marche Region.
The enterprise must be constituted as a public limited company with operating headquarters in the Marche Region.

ART.3 – SCOPE AND METHODS OF FUNDING DELIVERY

Enterprises will be funded in the form of share capital. The maximum funding actions may be as follows:

  • for enterprises already in operation, an increase of up to 2/3 of the existing share capital.Example: An enterprise whose share capital amounts to € 100,000 will have a capital increase payment of a maximum of 2/3 of the existing share capital, equal to € 66,000;
  • for new companies, subscription of up to 40% of the share capital.
    Example: During the set up of an enterprise with € 100,000 of capital, a maximum of 40% of the entire share capital, amounting to € 40,000, will be subscribed.

In the case of a new enterprise, the capital will be paid in one or more tranches in accordance with the company operations.
The method of transfer will be agreed in advance.
Participation in the scheme is compatible with any other kind of public aid, since the resources of the Foundation are completely private.

ART.4 – AGREEMENTS

The Foundation will enter into agreements with promoters in ways that will be agreed and which will provide the right to purchase the shares subscribed by the Foundation. Pacts and agreements will be concluded from time to time, aimed at allowing promoter partners to repurchase capital from Fondazione Marche, initially without re-evaluation and subsequently in ways to be agreed.

ART.5 – METHODS OF PARTICIPATION

Participants must present a business plan with significant innovative technology content.
Entries must be submitted exclusively online, complete with personal details and attached CV of the proposer and any company shareholders, together with the Company information form, downloadable from the Fondazione Marche website. The business plan must also be prepared and submitted, as indicated in the Business Plan Form (Modulo BP), downloadable online.
Companies established in the Marche Region within the last three years can also participate, subject to attaching also the following documents:

  • VAT number attribution document issued by the competent authority;
  • certificate of registration in the Register of Companies at one of the Chambers of Commerce of the Marche Region;
  • financial statements;
  • CV of entrepreneur or CVs of company partners.

ART.6 – EVALUATION CRITERIA OF PROJECTS

The Board of Directors of Fondazione Marche will choose projects on the basis of evaluation by a special Committee.
The Business Plan submitted online will undergo prior examination for formal correctness and to provide guidance for any changes or additions.
Selection will be based primarily on the following criteria:

· PRESENTATION AND COMPLETENESS OF INFORMATION;
· ORIGINALITY OF THE BUSINESS IDEA;
· INNOVATION FEATURES OF THE PRODUCT/SERVICE/PROCESS;
· RESEARCH AND DEVELOPMENT ACTIVITIES;
· RAPIDITY OF LAUNCH;
· DEVELOPMENT POTENTIAL;
· COMPOSITION OF THE MANAGEMENT-TEAM;
· ECONOMIC, FINANCIAL AND MANAGEMENT SUSTAINABILITY OF THE PROJECT;
· EMPLOYMENT POTENTIAL.

ART. 7 – PERFORMANCE CONTROLS

The beneficiary undertakes to submit periodic management control reports to Fondazione Marche at least every six months, to allow for evaluation of the effectiveness of the initiative.

ART.8 – PRIVACY GUARANTEE

The confidentiality of the information provided is guaranteed in the forms provided by law.
All parties involved in evaluating the submitted business plans are bound to respect the confidentiality of the information received from applicants regarding their business ideas.
The Foundation is exempt from any liability for disputes that may arise regarding the originality and authorship of the project.

ART.9 – CHANGES TO THE REGULATIONS

The Foundation reserves the right to make any changes deemed appropriate to the Regulations at any time.

ART.10 – PRIVACY PROTECTION LAWS

The submission of the grant application implies consent to the processing of data contained therein, according to Legislative Decree No. 196 of 30/06/2003 (personal data protection code), for the sole purpose of compliance requirements that give effect to this regulation, including the provision of such information to databases for public grants as provided by the legal system.
